Our Business Associates. HMSA has agreements with various entities, which we call our “business associates,” to provide services in connection with our health care program. Our relationships with business associates are based on the type of service they are to provide.

Your Information. Although you may provide individually identifiable health information on this Site, the information is not a medical record, and is not, under the HIPAA Privacy Rule, considered information we maintain in a designated record set. The application of these provisions, disclosures, and disclaimers and all other matters arising from your use of this Site or of any information you obtain from HMSA shall be governed by the laws of the United States of America and the state of Hawaii. You agree that any claims, disputes, or other controversies relating to or arising from these provisions, disclosures, and disclaimers or from you use of this Site or any information you receive from the site shall be resolved by binding arbitration. Before arbitration actually starts, both parties (you and HMSA) must agree on the one arbitrator who will review the positions of both parties and make the final decision to resolve the disagreement. If we both cannot agree within thirty (30) calendar days of your request for arbitration, either party may ask the United States District Court for the District of Hawaii to appoint an arbitrator. The arbitration hearing shall be in Honolulu, Hawaii. The arbitration shall be conducted in accord with the Federal Arbitration Act, 9 U.S.C. § 1 et seq., and such other arbitration rules as both parties agree upon. HMSA will pay the arbitrator’s fees. You must pay your attorneys’ and witness’ fees, if you have any, and HMSA must pay for ours. The arbitrator will decide who will pay all other costs of the arbitration. The decision of the arbitrator shall be final and binding on you and HMSA and no action may be brought in any court in connection with the decision except as provided under the Federal Arbitration Act.

Relationship of Parties. You acknowledge that HMSA is an independent plan operating under a license with the Blue Cross and Blue Shield Association, an association of independent Blue Cross and Blue Shield Plans (“Association”) permitting HMSA to use the Blue Cross and Blue Shield Service Mark in the State of Hawaii, and that HMSA is not contracting as the agent of the Association. None of the provisions of this Agreement are intended to create nor shall be deemed or construed to create any relationship between the parties to this Agreement other than that of parties contracting with each other solely for the purpose of effecting the provisions of these Terms and Conditions.

YOU HEREBY ACKNOWLEDGE THAT THE PROVISIONS, DISCLOSURES, AND DISCLAIMERS SET FORTH ABOVE ARE FAIR AND REASONABLE, AND THAT YOUR AGREEMENT TO FOLLOW AND BE BOUND TO THEM IS NOT THE RESULT OF FRAUD, DURESS OR UNDUE INFLUENCE EXERCISED UPON YOU BY ANY PERSON OR ENTITY.

Welcome to HMSA’s payment website for subscribers, (the "Subscriber Vuebill Site" or “Subscriber Vuebill Service”), hosted by Best Practice Systems (“BPS”). The Subscriber VueBIll Service allows you to pay your monthly HMSA dues online from your account at a financial institution, on a recurring basis or for one or more single payments. The Subscriber Vuebill Service is intended to be used only by the Subscriber.
PLEASE READ THESE TERMS OF USE (the “Terms and Conditions”). They supplement the terms set forth for HMSA.com and contain important terms.
The person logging on affirms that he or she is the Subscriber and agrees to the Terms and Conditions. If the person logging on does not agree to abide by the Terms and Conditions, or is not the Subscriber, please log off and contact HMSA, and do not enter, access, or otherwise use the Subscriber Vuebill Site.
You (the Subscriber) are responsible for maintaining the confidentiality of your username and password. You are responsible for all activities that result from the use of the username and password by anyone to whom you give such information, even if they exceed the permission that you give to them. In the event of suspected fraud or unauthorized activity, contact your financial institution immediately, then notify HMSA at the number designated in the “HMSA Contact Information” section below. You agree that HMSA will not be liable for any loss that you may incur as a result of someone else using your username, password, or other Web account information except as otherwise required by law. You agree that you will not use anyone else’s username, password, or other web account information at any time.
You agree not to use the online payment options for illegal purposes or for the transmission of material that is unlawful, harassing, libelous, invasive of another’s privacy, abusive, threatening, or obscene, or that infringes on the rights of others.
HMSA may suspend or terminate the Subscriber Vuebill Service and this agreement at any time for security reasons. Otherwise, HMSA shall provide at least twenty-one (21) days’ notice prior to termination.

You are responsible to ensure that the contact and other information provided to HMSA is accurate and complete. Whenever any personal information, subscriber information, banking information, contact or email address changes, you must update your account by making changes (including changes to your email address) on the Subscriber Vuebill Site. You acknowledge that any costs or fees that are incurred because account or other information is not accurate is your responsibility and not the responsibility of HMSA.
There may be occasions when your information is updated by us, or by your financial institution (such as for certain changes in account numbers); however, you cannot rely on the change being made in other situations, and you must notify us each time any of the information changes.

You may use the Subscriber Vuebill Service to authorize automatic recurring payments or one or more single payments from your financial account. For example, you may arrange payment from a savings, checking or credit card account. The payment will appear as a withdrawal, purchase transaction or other debit (“debit”) from your financial account.
|
By accepting the Terms and Conditions, you authorize HMSA to automatically debit the amount of your monthly membership dues from your financial account on the date your membership dues are due (or the next business day thereafter) each month.
Recurring payments will be debited from your financial account beginning with your next due date. A subscriber who has previously enrolled in automatic payments through a mailed-in application may change the subscriber’s banking information online by establishing a username and password on My Account at http://www.hmsa.com.
|
By accepting the Terms and Conditions, you acknowledge that you have authorized HMSA to debit the indicated payment amount on the date you specified on the Subscriber Vuebill Site from your specified financial account.
|
With sufficient time, you may cancel or change future payments by logging on to the Subscriber Vuebill Site and deleting or changing the payments, or by calling us directly at the number designated in the “HMSA Contact Information” section below. Cancellations made online on the Subscriber Vuebill Site should be made before 9 a.m., Hawaii Time, at least one (1) business day prior to the specified payment date. Cancellations over the telephone require at least two (2) business days’ prior notice to process. If a payment has already been completed, you may call us at the number designated in the “HMSA Contact Information” section below to request that the payment be returned to you and a check will be mailed after a minimum thirty (30) business-day wait period.
Cancellation by you of a payment does not relieve you of the responsibility to pay that HMSA bill in a timely manner by other means.

You agree to pay all financial institution fees, including any fees for insufficient funds charged by your financial institution. In addition, we will charge you a fee of $30.00 if a Subscriber Vuebill payment instruction is rejected by your financial institution, irrespective of whether the payment instruction is rejected for insufficient funds or a different reason. You will also be charged for any additional fees incurred by HMSA because of a rejected payment or breach of this agreement by you.
|
If your membership dues decrease or increase, you authorize us to decrease or increase your payments accordingly. We may require a new authorization for changes in our discretion. You will be notified of any increase in your membership dues at least ten (10) days in advance, or as otherwise required by law.
|
Services provided through the Subscriber Vuebill Service include paperless billing for all future bills for your HMSA membership account. If you prefer to continue to receive paper bills without charge through the mail, you may call HMSA directly at the number designated in the “HMSA Contact Information” section below to request paper statements. Copies of Vuebill statements will be available through the Subscriber Vuebill Service for 24 months. You also may request a paper copy of these Terms and Conditions by contacting us at the same number. HMSA may terminate your ability to use the Subscriber Vuebill Service if you opt out of receiving paperless billing and disclosures.

You must have a computer with access to the Internet through an Internet Service Provider (ISP) as well as a browser (latest versions of Explorer 7+, Firefox 4+, Chrome 12+, or Safari 5+). HMSA is not responsible for any loss, damage or claim caused by any Internet Service Provider (ISP), software, or computer communication equipment. Adobe Acrobat Reader may be required to access supporting documents or promotional materials.
If there is a change in the hardware/software requirements associated with the Subscriber Vuebill Service, we will notify you and provide an explanation of the updated hardware/software requirements. It is your responsibility to assure your personal computer and related equipment are compatible with and capable of operating in a manner that allows you to utilize the Subscriber Vuebill Service. If you cannot meet the requirements for any reason, you have the right to withdraw your consent and participation in the Subscriber Vuebill Service at that time at no cost to you.

It is important that you log off any open sessions on other websites and close all other windows before accessing the Subscriber Vuebill Service, and that you not open other windows while you are logged on to the Subscriber Vuebill service. It also is important that you end each session by properly logging off of the Subscriber Vuebill Service and closing the window for the Subscriber Vuebill Service. Having other windows open while you are logged on to the Subscriber Vuebill Service, or failing to log off of the Subscriber Vuebill services and closing the window properly, may increase the risk of unauthorized access to your HMSA account or financial account.

You acknowledge and agree that HMSA and its licensor and/or affiliates own all rights to the Subscriber Vuebill Site and the content displayed on the Subscriber Vuebill Site. You are only permitted to use this content as expressly authorized by HMSA. You may not copy, reproduce, distribute or create derivative works from this content. Further, you agree not to reverse engineer or reverse compile any of HMSA’s technology.
You agree that HMSA has the right to change or discontinue the online programs at any time without notice. You agree that HMSA will not be liable to you or any third party for any modification or discontinuance of the online programs.

If you are contacted by anyone asking for your PIN, password, username or other access code, you should refuse and immediately contact your financial institution and us. You agree to defend, indemnify, and hold HMSA, its officers, directors, employees, agents, licensors, business associates, and suppliers, harmless from and against any claims, actions, or demands, liabilities, and settlements, including, without limitation, reasonable legal and accounting fees resulting from or alleged to result from your use of the Subscriber Vuebill Site in a manner that violates or is alleged to violate these Terms and Conditions or applicable law.
HMSA shall not be responsible for failure to complete transactions when such failure is due to circumstances beyond the control of HMSA, such as, but not limited to, incorrect or incomplete information provided to HMSA, natural disasters, failures of third parties, or interference from an outside source which prevent the proper execution of the transaction.
You expressly understand and agree that your use of the Subscriber Vuebill Service is provided on an “AS IS” and “AS AVAILABLE” basis. HMSA expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.
You agree that your use of the Web account and the online payment options will comply with all applicable laws, rules, regulations and decisions of federal and state governmental authorities. In the event of a dispute, you agree that all disputes shall be settled in accordance with the Terms and Conditions provided herein.

HMSA AND ITS INDEMNIFIED PARTIES WILL NOT BE LIABLE FOR ANY INCIDENTAL, DIRECT, INDIRECT, PUNITIVE, ACTUAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR OTHER DAMAGES, INCLUDING LOSS OF INCOME, PAIN AND SUFFERING, EMOTIONAL DISTRESS, OR OTHER DAMAGES, EVEN IF HMSA BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, EXCEPT AS OTHERWISE REQUIRED BY LAW. IN NO EVENT WILL THE COLLECTIVE LIABILITY OF HMSA AND THE INDEMNIFIED PARTIES (REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE) EXCEED ONE HUNDRED DOLLARS ($100), EXCEPT AS OTHERWISE REQUIRED BY LAW.

By using our online Subscriber Vuebill payment option, you warrant that you are an authorized signatory on the financial account being linked for payment, and that you have full authority to authorize HMSA to debit the financial account. You authorize us to initiate any reversing entry or reversing file in order to correct any erroneous transaction. You agree to cooperate with any action to reverse a transaction that was made in error and to offset any benefit you receive against any loss we suffer. You agree to regularly review your HMSA account and financial account transaction history to confirm whether or not transactions have been processed properly, and to contact us immediately in the event of any discrepancy.

The application of these provisions, disclosures, and disclaimers and all other matters arising from your use of the Subscriber Vuebill Site shall be governed by the laws of the United States of America and the state of Hawaii (without regard to its conflict of laws provisions). You agree that any claims, disputes, or other controversies relating to or arising from these provisions, disclosures, and disclaimers or from your use of the Subscriber Vuebill Site shall be resolved by binding arbitration. You must submit a written request for arbitration to HMSA, Legal Services, P.O. Box 860, Honolulu, Hawaii 96808-0860. Before arbitration actually starts, both parties (you and HMSA) must agree on one arbitrator who will review the positions of both parties and make the final decision to resolve the disagreement. If we both cannot agree within thirty (30) calendar days of your request for arbitration, either party may ask any court of competent jurisdiction in Honolulu, Hawaii, to appoint an arbitrator. The arbitration hearing shall be in Honolulu, Hawaii. The arbitration shall be conducted in accord with the Federal Arbitration Act, 9 U.S.C. 1 et seq., the rules of Dispute Prevention & Resolution, Inc. and such other arbitration rules as both parties agree upon. HMSA will pay the arbitrator’s fees. You must pay your attorneys’ and witness’ fees, if you have any, and HMSA must pay for ours. The arbitrator will decide who will pay all other costs of the arbitration. The decision of the arbitrator shall be final and binding on you and HMSA and no action may be brought in any court in connection with the decision except as provided under the Federal Arbitration Act. NOTHING HEREIN SHALL ALTER THE TERMS OF THE GUIDE TO BENEFITS FOR YOUR HMSA PLAN. SHOULD ANY PROVISION IN THIS AGREEMENT BE INCONSISTENT WITH THE GUIDE TO BENEFITS FOR YOUR HMSA PLAN THE PROVISIONS IN THE GUIDE TO BENEFITS SHALL CONTROL.

You acknowledge that HMSA is an independent plan operating under a license with the Blue Cross and Blue Shield Association, an association of independent Blue Cross and Blue Shield plans ("Association") permitting HMSA to use the Blue Cross and Blue Shield service mark in the state of Hawaii, and that HMSA is not contracting as the agent of the Association. None of the provisions of this agreement are intended to create, nor shall be deemed as construed to create, any relationship between the parties to this agreement other than that of parties contracting with each other solely for the purpose of affecting the provisions of these Terms and Conditions.
YOU AFFIRM THAT THE PROVISIONS, DISCLOSURES, AND DISCLAIMERS SET FORTH ABOVE ARE FAIR AND REASONABLE, AND THAT YOUR AGREEMENT TO FOLLOW AND BE BOUND TO THEM IS NOT THE RESULT OF FRAUD, DURESS, OR UNDUE INFLUENCE EXERCISED UPON YOU BY ANY PERSON OR ENTITY.
HMSA MAKES NO REPRESENTATIONS, PROMISES, WARRANTIES, OR UNDERTAKINGS CONTRARY TO THOSE SET FORTH ABOVE.

By clicking “Create”, you are affirming your agreement to these Terms and Conditions, and receipt of paperless billing and disclosures. We may amend or terminate these Terms and Conditions at any time, subject to any notice required by law. Your continued use of the Vuebill Service constitutes acceptance of the changes
